Human Resources & Governance Committee
The Human Resource, Governance Committee (HRGC) comprises three members. The Chairman is an independent director, whereas the other two members are the Chief Executive Officer and a non-executive advisor. Meetings are conducted at least once in a quarter or at such other frequency as the Chairman may determine. The Head of Human Resources is the Secretary of the HRGC. The minutes of the meetings of the HRGC meetings are provided to all members and Trustees. Committee has held one (1) meeting during the year.Following are the members of Human Resources Governance Committee:

Terms of Reference of Human Resource, Governance Committee Members
The Committee defines the HR policy framework and makes recommendations to the Board in the evaluation and approval of employee benefit plans and succession planning.The salient features of the Terms of Reference of HRGC are as follows:
- Major HR policies/frameworks, including compensation
- Overall organizational structure
- Organization model and periodically seek assessment of the same
- Succession planning for key executives, including the CEO.
- Recruitment, remuneration, nomination, and evaluation of the CEO and his direct reports, including the CFO, Head of Internal Audit and the Secretary.
- The CEO, being a member of the HRGC, shall not be a part of Committee meetings if his/her compensation/performance is being discussed/evaluated.
- Compensation of the non-executive Trustees/advisors.
